Statutory demands can be an alternative to the claim and statement of claim route, and this delves into the liquidation sphere.
Not all matters are suited to winding up applications, and there can be significant costs associated with this avenue too, so it is important to consider whether your debt is eligible for a statutory demand.
We handle these matters from start to finish and have experience with the following:
- Issuing a creditor’s statutory demand for payment of a debt: These are served in the form of a Form 509H as stipulated under Paragraph 459E(2)(e) Corporations Act 2001.
- Application to wind up a company on grounds of insolvency: This occurs when the debtor fails to comply with the creditor’s statutory demand for payment of a debt
- Application to wind up a company on just and equitable grounds: Pursuant to section 461(1)(k) of the Corporations Act 2001 (Cth) the court is enabled to make a winding up order by appointing a liquidator on grounds that it is ‘just and equitable’. What is ‘just and equitable’ is a broad parameter, and may evolve over time. Most commonly, this section is engaged when there is a dispute between shareholders. It is also enlivened when a company’s sole purpose fails China v James Smith (No 4) (2014) WASC 140.
